These Terms of Service ("Terms") govern your access to and use of the MerlAI platform and related services provided by Merlin's Group Pty Ltd ("Merlin's Group", "MerlAI", "we", "us", or "our"). By accessing or using our website, applications, or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you are authorised to bind that entity to these Terms, and in that case "you" and "your" refer to that entity.

1. About Us and Our Services

Merlin's Group is an ICT technology company that provides AI-assisted tools to help users create, edit, and optimise resumes, CVs, cover letters, and related job application materials.

The Services include, without limitation:

• AI-assisted generation and optimisation of resumes and cover letters;
• Templates and formatting tools for resumes/CVs and cover letters;
• Scoring, analysis, and feedback on resume and cover letter quality;
• Storage and retrieval of your resume-related materials; and
• Integrations with third-party services (such as payment processors and cloud infrastructure providers).

We do not provide legal, financial, immigration, or employment agency services. We do not guarantee that any user will obtain employment, interviews, or any particular outcome.

2. Eligibility

You may use the Services only if:

• You are at least 18 years old (or the age of legal majority in your jurisdiction);
• You have the legal capacity to enter into a binding contract; and
• Your use of the Services is permitted under all applicable laws and regulations.

By using the Services, you represent and warrant that these conditions are met.

3. Accounts and Security

3.1 Account Registration

To use certain features, you may be required to create an account and provide accurate, current, and complete information, including a valid email address and password. You agree to maintain and promptly update your account information so it remains accurate and complete and not to impersonate any person or entity.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@merlinsgroup.com.au if you suspect unauthorised access to your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

4. User Content

4.1 Definition

"User Content" means any information, data, text, documents, attachments, links, job descriptions, resumes, cover letters, profile details, or other materials you upload, submit, store, or otherwise provide to or through the Services.

4.2 Your Responsibility for User Content

You are solely responsible for your User Content and for ensuring that it is accurate, complete, not misleading, and compliant with all applicable laws. You must not upload or use User Content that:

• Contains personal data of others without their lawful consent;
• Infringes or misappropriates any third-party intellectual property or other rights;
• Is defamatory, obscene, hateful, harassing, discriminatory, fraudulent, or otherwise objectionable; or
• Encourages or constitutes unlawful activity.

You understand that any misrepresentations in your resume or cover letter are solely your responsibility and may have consequences in recruitment or employment contexts.

4.3 Licences You Grant to Us

By submitting User Content, you grant Merlin's Group a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to use, reproduce, modify, adapt, process, and display your User Content as reasonably necessary to operate, provide, maintain, improve, and support the Services (including via third-party AI models and infrastructure providers), and to generate derivative works such as AI-generated resumes, cover letters, and scoring/feedback for your use.

4.4 Data and Model Improvement

We may use anonymised and aggregated data derived from your use of the Services (including usage statistics, scoring metrics, and de-identified content patterns) to improve our models, algorithms, and features, and to conduct analytics, testing, and research. We will not use such data in a way that personally identifies you, in accordance with our Privacy Policy.

5. AI-Generated Output and Disclaimers

5.1 Nature of AI Output

The Services use artificial intelligence and large language models to generate, edit, and optimise text ("AI Output"). AI Output may be incomplete, inaccurate, outdated, or inappropriate and may not reflect local laws, industry norms, or best practices in every jurisdiction. You must carefully review, edit, and verify AI Output before use.

You remain solely responsible for the final content of any resume, cover letter, or document you send or submit to third parties, for ensuring that all information you present is truthful and compliant with applicable law, and for any consequences arising from your reliance on or use of AI Output.

5.2 No Employment, Legal, or Professional Advice

The Services and AI Output do not constitute legal, financial, tax, immigration, HR, recruitment, or other professional advice. You should consult qualified professionals where needed. We do not guarantee that using the Services will result in interviews, job offers, promotions, or any particular career outcome.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law;
• Misrepresent your identity, qualifications, experience, or any material fact in documents generated through the Services;
• Use the Services to generate content that is discriminatory, harassing, defamatory, or otherwise harmful or offensive;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, decompile, or attempt to derive the source code of any part of the Services, except where permitted by law; or
• Use the Services to build, train, or improve competing AI models or services.

7. Plans, Billing, and Payments

We may offer free plans, one-off "Single Download" purchases, and subscription plans (such as Pro monthly or yearly). The specific features, limits, and prices are described on our Pricing page or within the Services and may change from time to time.

Payments are processed by third-party providers (such as Stripe). By making a purchase, you agree to comply with their terms and any applicable bank or card issuer terms. Fees are generally charged in advance and are non-refundable unless required by law or stated otherwise in our refund policy.

8. Intellectual Property

All rights, title, and interest in and to the Services, including software, user interfaces, designs, text, graphics, logos, trademarks, and underlying technology, are owned by Merlin's Group or its licensors. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Services except as expressly permitted in these Terms.

You retain any rights you have in your original User Content. Subject to your compliance with these Terms, you may use AI Output for your personal or internal business purposes in creating resumes, cover letters, and related materials.

9. Third-Party Services and Links

The Services may integrate with or rely upon third-party services and infrastructure (such as cloud hosting, AI model providers, payment processors, or job platforms). Your use of third-party services is subject to their terms and privacy policies. We are not responsible for the content, availability, or performance of third-party services.

10. Privacy

Our collection, use, and disclosure of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our handling of your information as described in the Privacy Policy.

11. Termination and Suspension

We may suspend or terminate your access to some or all of the Services at any time, with or without notice, if you breach these Terms, if we are required to do so by law or by a third-party provider, or if continuing to provide the Services to you would expose us to legal or security risk. Upon termination, your right to access and use the Services immediately ceases, but provisions of these Terms that by their nature should survive termination will continue in effect.

12. Disclaimers

To the fullest extent permitted by law, the Services and all AI Output are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Services or AI Output will be accurate, complete, reliable, error-free, or suitable for your particular needs; that the Services will be uninterrupted or available at any particular time; or that the Services will be free from viruses or other harmful components.

13. Limitation of Liability

To the fullest extent permitted by law, Merlin's Group and its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of opportunity, loss of data, business interruption, or reputational harm, arising out of or in connection with your use of (or inability to use) the Services or AI Output, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising out of or related to these Terms, the Services, or AI Output (whether in contract, tort, negligence, strict liability, or otherwise) will be limited to the amount you have actually paid to us for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or, if you have not paid any such amounts, one hundred Australian dollars (AUD $100).

14. Indemnity

You agree to indemnify, defend, and hold harmless Merlin's Group and its directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services or AI Output, your User Content, your breach of these Terms, or your violation of any applicable law or the rights of any third party.

15. Changes to the Services and Terms

We may modify or discontinue all or part of the Services at any time. We may also update these Terms from time to time. When we do so, we will revise the "Last updated" date above and may provide additional notice (for example, by email or in-product notification). Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes.

16. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them or the Services are governed by the laws of the Australian Capital Territory (ACT), Australia, without regard to conflict-of-laws principles. You and Merlin's Group agree to submit to the exclusive jurisdiction of the courts of the Australian Capital Territory for the resolution of any disputes arising from or relating to these Terms or the Services.

17. Miscellaneous

These Terms, together with any documents expressly incorporated by reference (including our Privacy Policy and any plan-specific terms), constitute the entire agreement between you and Merlin's Group regarding the Services. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
